Agreement and Scope
These Workspace Terms of Use are the end-user license agreement for the Pronounced Keeping website and client workspace. By accessing or using the workspace, you agree to these terms. If you use the workspace for a business or another person, you confirm that you are authorized to act for them.
These terms govern the technology and online experience. Your engagement letter, proposal, service agreement, and any required tax disclosure consent separately define the professional services we will perform, fees, responsibilities, and engagement-specific terms. Using the workspace does not expand the scope of an engagement.
Invitation-Only Accounts
Workspace access is limited to invited users. You must provide accurate account information, protect your password and devices, use multi-factor authentication when offered or required, and promptly tell us about suspected unauthorized access.
Access is assigned to the client records and permissions approved for you. Do not share credentials or attempt to view another client’s information. An organization may authorize more than one user and is responsible for telling us when access should be changed or removed.
Acceptable Use
You may use the website and workspace only for lawful, authorized business with Pronounced Keeping. You may not:
- Access or test accounts, records, systems, or security controls without permission.
- Upload malware, harmful code, unlawful content, or material that infringes another person’s rights.
- Interfere with the service, evade access limits, automate abusive requests, or misrepresent your identity or authority.
- Copy, resell, reverse engineer, or exploit the workspace except where applicable law expressly permits it.
Messages and Documents
Workspace messages are for routine communication and recordkeeping. They are not an emergency channel and may not receive an immediate response. A message does not amend an engagement or create a filing, payment, or representation obligation unless Pronounced Keeping expressly confirms it.
Do not place Social Security numbers, employer identification numbers, complete bank information, tax returns, or other sensitive documents in workspace messages or ordinary email. Use the secure document link provided in the workspace. You are responsible for confirming that uploaded files are complete, accurate, and sent to the intended location.
Text Messages
When you text Pronounced Keeping, LLC, you consent to replies about your request from our team or virtual assistant. This does not enroll you in recurring reminders. Message frequency varies. Message and data rates may apply.
Reply STOP to stop messages, START to resume inquiry replies, or HELP for assistance. You can also contact assist@pronouncedkeeping.com.
Please use our secure workspace rather than text messages to share sensitive tax, financial or identity documents.
Information and Guidance
Dashboard dates, status labels, guidance, estimates, and general resources are provided to help organize your work with us. They may depend on information available at the time and should not be treated as a substitute for a completed engagement, signed filing, agency confirmation, legal advice, or a specific professional recommendation.
You remain responsible for reviewing information, responding to requests, and notifying us promptly about errors, changed facts, notices, deadlines, or other matters that may affect the work.
Invoices and Payments
Workspace billing information is presented for convenience. QuickBooks is the source of record for invoices and applied payments. Payments are processed through Stripe or another identified payment provider, which receives payment credentials under its own terms.
A partial payment does not change the amount due, payment schedule, refund terms, or service conditions in an engagement agreement unless Pronounced Keeping agrees in writing. Contact us promptly if a balance or payment history appears incorrect.
Connected and Third-Party Services
The workspace may open or connect with separately operated services, including QuickBooks, Stripe, Sync, and PayRythm. Pronounced Keeping may organize access to those services but does not control their availability, security, content, or terms. Your use of a third-party service is also governed by that provider’s agreement and privacy policy.
Electronic Communications and Records
You consent to receive workspace, email, and other electronic communications related to your account and services. You may keep copies for your records. We may retain workspace activity, messages, notices, approvals, and exports as business records in accordance with our privacy policy and applicable obligations.
Workspace records show activity in our system but do not by themselves prove that a filing was accepted, a payment cleared, or an agency obligation was satisfied.
Ownership and Limited License
Pronounced Keeping and its licensors own the workspace software, design, branding, and original content. We grant you a limited, revocable, nonexclusive, nontransferable license to use the workspace for your authorized relationship with us. You retain your rights in information and documents you provide.
Availability and Account Closure
We work to keep the workspace reliable, but maintenance, provider outages, security events, or other conditions may interrupt access. Contact us through another established channel if a time-sensitive matter cannot wait for workspace access.
We may suspend or end access to protect clients or systems, respond to misuse, comply with law, or reflect the end of an engagement. Sections that reasonably should continue after account closure remain in effect.
Disclaimers and Responsibility
To the extent permitted by law, the website and workspace are provided “as is” and “as available.” We do not promise uninterrupted operation or that general website content will fit every circumstance. Professional services are governed by the applicable engagement agreement.
To the extent permitted by law, Pronounced Keeping is not liable for indirect, incidental, special, consequential, or punitive damages arising only from use of the website or workspace. Nothing in these terms excludes responsibility that cannot legally be excluded or limits rights stated in an engagement agreement.
Governing Law, Changes, and Contact
Texas law governs these terms, without regard to conflict-of-law rules, except where federal law or another mandatory law applies. Any engagement-specific dispute provision remains controlling for that engagement.
We may update these terms as the workspace or applicable requirements change. The effective date above identifies the current version. Continued use after notice of a material update means you accept the revised terms.
